Terms & Conditions for OSupport Global Services

Welcome to OSupport Global Services. By accessing or using our website, services, or engaging with our consultants, you agree to comply with the following Terms & Conditions. Please read them carefully. 
1. Scope of Services 
OSupport provides professional IT consulting and enterprise solutions, including but not limited to: Oracle Fusion Cloud Applications & Services SAP S/4HANA, Fiori, and ABAP Solutions Full Stack Web & Mobile Development IT Strategy & Cloud Consulting Staff Augmentation Services Cloud Migration & Managed Services All services are delivered based on mutually agreed contracts, proposals, or statements of work.
2. Engagement & Responsibilities 
OSupport commits to providing qualified, experienced professionals for every engagement. Clients are responsible for providing accurate project requirements, access, and resources to enable successful delivery. Both parties agree to maintain confidentiality and data security throughout the engagement.
3. Staff Augmentation
 Professionals deployed through OSupport remain employees/associates of OSupport unless otherwise agreed in writing. Clients may not solicit or hire OSupport staff directly without prior approval during or within 12 months of an engagement. 
4. Payment & Invoicing
 Fees are defined in the relevant contract or proposal. Payments must be made within the agreed timeline. Late payments may result in suspension of services or additional charges. 

5. Confidentiality & Data Protection 
OSupport upholds strict confidentiality of client information. Any sensitive or proprietary information shared during the engagement will only be used for project purposes. Both OSupport and the client agree to comply with applicable data protection laws. 
6. Intellectual Property 
Deliverables created by OSupport under a project remain the property of the client once full payment has been made, unless otherwise specified. Pre-existing tools, frameworks, or IP owned by OSupport remain OSupport’s property. 
7. Limitation of Liability 
OSupport will deliver services with best practices and professional diligence. However, OSupport is not liable for indirect damages, loss of business, or third-party claims arising out of service use. Total liability will be limited to the fees paid for the specific services rendered. 

8. Termination 
Either party may terminate the agreement with written notice as per the terms of the contract. In case of termination, the client will be liable to pay for services delivered up to the effective termination date.
9. Governing Law 
These Terms & Conditions shall be governed by and construed under the laws of India (or jurisdiction specified in the agreement). Any disputes will be subject to the courts of Chennai, India (or agreed jurisdiction). 
10. Updates to Terms
 OSupport may update these Terms & Conditions periodically. Continued use of our services implies acceptance of the updated terms.
